DEVA CAPITAL is looking for a LEGAL COUNSEL, based in our MADRID office.

As a Legal Counsel, you will be responsible for providing legal support to specific transactions while providing support for general corporate law and governance at Deva, as well as coordinating with SAN corporate legal department.
We need someone like you to help us in different fronts:
Corporate and transaction legal and structuring advice
Coordinate and manage legal due diligence in transactions
Drafting, negotiating and reviewing legal documentation including non-disclosure agreements, legal correspondence, and transaction-related documentation such as service level agreements, loan agreements, sale and purchase agreements, shareholders agreements
Project manage legal and compliance projects such as templates, legal counsel databases, checklists and due diligence questionnaires
Manage and record internal screening/review meetings for transactions
Coordinate and manage external counsel in transactions, including negotiating and reviewing engagement letters for legal advisors and tracking and following up on external counsel billing and payments
Prepare and track insider lists in consultation with SAN oversight functions
Proofread and format memoranda, agreements, term-sheets, letters of intent and other legal correspondence


5-7 years of relevant working experience at a major law firm or corporate in-house legal department working in cross-border transactions (M&A, banking and finance, private equity, and/or distressed investments)

Bachelors Law Degree or Juris Doctor with admittance to practice law in good standing

Fluent in English and Spanish.
Excellent written and communication skills
